SpringBay Oil Company was formed in 2004 to develop a product that can be used in the production monitoring of oil wells. In June 2005, the Company formed Monolith Athletic Club, LLC, a New York limited liability company.

In February 2005, the Company incorporated JA Spa, LLC., a New York limited liability company. JA Spa, LLC was formed to develop a health spa concept within one of the properties owned by the Company in Marcellus, New York.
