About Foremost Income Fund

Foremost Industries Income Fund (the Fund) is an unincorporated open-end mutual fund trust established by a Declaration of Trust in 2001, as amended and restated June 28, 2002, under the laws of the Province of Alberta. The Fund was established to invest in securities of Foremost Industries Limited Partnership (Foremost LP). Foremost LP is a continuation of the business formerly conducted by Foremost Industries Inc. Foremost LP is in the business of the design, manufacture, sale and service of heavy all-terrain vehicles and drilling equipment for the mineral exploration, waterwell, construction, transportation, energy and environmental industries.

The Fund is a unit trust for income tax purposes. Under the terms of the Declaration of Trust, all Canadian taxable income of the Fund will be allocated to Unitholders resulting in no Canadian tax expense for the Fund.


Foremost's various products can be grouped into three business segments: Drills; Parts, Tooling and Pipe; and Vehicles.


Foremost continues to focus on growing and enhancing its drilling rig product lines, which offers the highest potential growth and profitability. The growth is largely attributable to the success of its custom engineering and manufacturing of CTRs. For certain depths, the new process of drilling for oil and gas with continuous coiled tubing, has shown significant productivity advantages versus conventional jointed pipe. Efficiencies have resulted in productivity records and in increased rig utilization rates for CTR customers using products built by Foremost. In June 2002, Foremost delivered first dual-mode rig, which is capable of drilling with either coil or conventional threaded drill pipe.

Tooling and Pipe, Parts and Service, and Rental

Tooling and Pipe, Parts and Service is a significant part of Foremost's business. This business segment includes: vehicle and drill rig parts; drill pipe; mining tools; equipment rental; and augers and bits. Also included within this segment is the revenue generated by in-shop service and re-builds for capital equipment.

Foremost Mobile, located in Indianapolis, Indiana manufactures parts and tooling for the geo-technical and environmental drilling industries.


The Company offers Commander C vehicle to the New Mexico State University for deployment at the National Scientific Balloon Facility in the Antarctic. These products generally require minimal engineering intervention.
