The company invests in a diversified portfolio of real estate loans and securities, including permanent loans, bridge loans, subordinate interests in whole loans, mezzanine loans, distressed debt, mortgage-backed securities (MBS) preferred equity, and net lease investments involving commercial properties throughout the United States.

The company finances assets through various techniques, including repurchase agreements, secured and unsecured credit facilities, CDOs, unsecured junior subordinated corporate debt, issuances of commercial mortgage-backed securities (CMBS), and other structured financings.

Targeted Investments

Permanent Loans: The company originates fixed-rate permanent whole loans. It separates certain of these loans into tranches, which can be securitized and resold.

Bridge Loans: The company offers floating rate bridge whole loans to borrowers who are seeking debt capital, which may be used in the acquisition, construction or redevelopment of a property. Bridge financing enables the borrower to employ short-term financing while improving the operating performance and physical aspects of the property and avoid burdening it with restrictive long-term debt. The bridge loans it originates are secured by first mortgage liens on the property and are expected to provide interest rates ranging from 125 to 400 basis points over applicable index rate indexes.

Subordinate Interests in Whole Loans: The company purchases from third parties, and may retain from whole loans it originates and co-originates and securitizes or sells, subordinate interests in whole loans.

Mezzanine Loans: The company originates mezzanine loans that are senior to the borrower’s equity in, and subordinate to a mortgage loan on, a property. These loans are secured by pledges of ownership interests, typically in whole but occasionally in part, in entities that directly or indirectly own the real property.

Distressed Debt: The company may also invest in distressed debt, most often sub- and non-performing real estate loans acquired from financial institutions. It makes these investments when its underwriting, credit, financing and asset management experience enable it to generate above-average risk-adjusted returns by resolving these distressed loans expeditiously through refinancings, negotiated repayments with borrowers or foreclosure and subsequent sale of the underlying property.

Mortgage-Backed Securities: The company acquires mortgage MBS that are created when commercial or residential loans are pooled and securitized. These securities may be issued by government sponsored agencies or other entities, and may or may not be rated investment grade by rating agencies. It may also originate MBS from pools of commercial loans.

Preferred Equity: The company originates preferred equity investments in entities that directly or indirectly own commercial real estate. Preferred equity is not secured, but holders have priority relative to common equity holders on cash flow distributions and proceeds from capital events.

Other Real Estate-Related Investments: The company may also makes investments in other types of commercial or multi-family real estate assets. These may include acquisitions of real property and debt issued by REITs or other real estate companies. It has authority to issue its common stock or other equity or debt securities in exchange for assets.
