Industries, a division of MBN, is engaged in the design, manufacture and distribution of paint equipment; and Oil and Gas: 2M Energy Corp. is engaged in the acquisition, exploration, development and production of oil and gas resources. The Company operates primarily in United States of America and Canada.

H.E.R.O. Industries

H.E.R.O. Industries, a division of MBN, is a Vancouver-based business engaged in the design, manufacture and distribution of paint equipment. H.E.R.O.’s product line includes colourant dispensers, paint shakers, paint sprayers and cold-water pressure washers. H.E.R.O. is a manufacturer and marketer of manual colourant dispensers in North America. This year, H.E.R.O. entered the automatic colourant dispenser market by acquiring the assets of ABC Dispensing Technologies, Inc. ABC was a long-time supplier of automatic colourant dispensing fixtures whose major customers included The Home Depot, Wal-Mart and Sherwin-Williams.

Products

Manual Colourant Dispensers: Introduction of an “industry first” ergonomic handle assembly.

Automatic Colourant Dispensers: Modifications to pneumatic technology to enhance the accuracy of colourant dispensing.

H2k Airless Paint Sprayers: Addition of stainless steel and tungsten carbide components and a new “high-boy” style.

Pressure Washers: Introduction of new models to address a broader range of customer requirements.

Paint Shakers: Introduction of the first automatic gyroscopic paint mixer into North America.

2M Energy Corp

MBN’s energy division, 2M, has a broad mandate to capitalize on Middlefield Group’s extensive experience in the energy business and expertise in managing specialized investment vehicles.

Property Review

2M’s assets consist of various working interests in petroleum and natural gas leases/licenses in Northern and Central Alberta. Production in 2002 averaged 94 boepd (62% natural gas) with the majority of production coming from the Sylvan Lake/Medicine River properties in Central Alberta. 2M has an average working interest of 31.5% in 70,560 gross developed and undeveloped acres for a total net position to the company of 22,192 acres.

The Panny property is approximately 400 km north of Edmonton and represents the company’s largest land base with a one third working interest in 56,320 acres. The property is operated by Devon Energy and is producing predominantly heavy oil from three wells which contributed 31 boepd in 2002, up from 13 boepd the previous year.

At Sylvan Lake/Medicine River just 130 km north of Calgary, 2M has a 43.75% interest in one section with one producing well and a 25% interest in two wells producing from another section. Total production from the area was 62 boepd compared to 74 boepd in 2001.

At Edson which is 220 km due west of Edmonton, 2M has an 18.75% working interest in three and a half sections of land with Bluesky and Gething potential. Although the land is positioned between an Edson Bluesky pool and an underlying and updip Rosevear Gething oil pool, reservoir for either cannot be delineated.

Berland River represents the most significant opportunity for 2M. Approximately 250 km west of Edmonton, this multi-zone area, which is also referred to as Wild River, has a number of large independents drilling around its lands.

Activity on 2M’s contiguous 11 section block will be limited to geophysical interpretation to determine porosity in the Gething zone followed by a 5,000 to 10,000 km 2D seismic shoot.
