Teekay Offshore Partners L.P. provides marine transportation and storage services to the offshore oil industry. The company, through its 51% interest in Teekay Offshore Operating L.P (OPCO), owns and operates shuttle tankers, floating storage and offtake (FSO) units, and double-hull conventional oil tankers.

Segments

The company’s segments include The Shuttle Tanker, The Conventional Tanker, The FSO, and Floating Production, Storage and Offloading (FPSO).

Shuttle Tankers

The company’s shuttle tanker fleet consists of 34 vessels that operate under fixed-rate contracts of affreightment, time charters and bareboat charters. Of the 34 shuttle tankers, 26 are owned by OPCO (including 5 through 50% owned subsidiaries and 3 through a 67% owned subsidiary), 6 are chartered-in by OPCO and 2 are owned by the company (including 1 through a 50% owned subsidiary). These shuttle tankers provide transportation services to energy companies, primarily in the North Sea and Brazil. As of December 31, 2009, its shuttle tankers had a total cargo capacity of approximately 4.3 million deadweight tonnes (or dwt).

Conventional Tanker

OPCO has a fleet of 11 Aframax conventional crude oil tankers, 9 of which operate under fixed-rate time charters with Teekay Corporation. The remaining 2 vessels, which have additional equipment for lightering, operate under fixed-rate bareboat charters with Skaugen PetroTrans Inc., Teekay Corporation’s 50%-owned joint venture (or Skaugen PetroTrans). As of December 31, 2009, the company’s conventional tankers had a total cargo capacity of approximately 1.1 million dwt.

FSO

The company has a fleet of five FSO units. The FSO units operate under fixed-rate contracts, with an average remaining term of approximately 2.7 years. As of December 31, 2009, its FSO units had a total cargo capacity of approximately 0.6 million dwt. FSO units provide on-site storage for oil field installations that have no storage facilities or that require supplemental storage.

FPSO

The company has one FPSO unit, which operates under operations and charter contracts with Talisman Energy. It uses the FPSO unit to provide transportation, production, processing and storage services to oil companies operating offshore oil field installations. FPSO units are offshore production facilities that are typically ship-shaped and store processed crude oil in tanks located in the hull of the vessel. FPSO units are typically used as production facilities to develop marginal oil fields or deepwater areas remote from existing pipeline infrastructure.
