About Developers Diversified Realty Corp.

Developers Diversified Realty Corporation operates as a self-administered and self-managed real estate investment trust (REIT). It engages in the acquisition, development, redevelopment, ownership, leasing and management of shopping centers.

As of February 5, 2007, the company’s portfolio included its 461 shopping centers and seven business centers, including 167 properties owned through unconsolidated joint ventures, and 39 of which are consolidated by it and approximately 1,170 acres of undeveloped land, of which approximately 170 acres are owned through joint ventures.

The company’s properties consist of shopping centers, mini-malls and lifestyle centers. As of February 5, 2007, the company acquired 184 shopping centers, including 69 properties owned through joint ventures, containing an aggregate of approximately 25.3 million square feet of gross leasable area (GLA) owned by it.

As of February 5, 2007, the company was expanding 8 wholly owned properties and 6 of its joint venture properties and expected to commence construction at 12 wholly owned and 3 joint venture shopping centers. As of December 31, 2006, the company had 7 wholly owned shopping centers and 4 joint venture shopping centers under development and expected to commence construction at 2 additional wholly owned shopping centers in 2007.

As of December 31, 2006, the aggregate occupancy of the company’s shopping center portfolio was 95.2%. The company owned 467 shopping centers at December 31, 2006. As of December 31, 2006, the aggregate occupancy of the company’s wholly owned shopping centers was 94.1%. The company owned 261 wholly owned shopping centers as of December 31, 2006.

As of December 31, 2006, the aggregate occupancy of the company’s business centers was 42.1%. The business centers consist of seven assets in five states. The company manages all of the Portfolio Properties. As of December 31, 2006, the company owned and/or managed approximately 110 million square feet of GLA, which included all of the Portfolio Properties and 12 properties owned by third parties.

The company formed a joint venture with Ece Projektmanagement Gmbh & Co. The companies invest in retail developments in western Russia and the Ukraine.

Significant Events

In April 2009, Developers Diversified Realty Corp. announced the opening of Manauara Shopping, a 502,259-square-foot enclosed mall in Manaus, Brazil. Developers Diversified owns 47.5% of the shopping center through its ownership interest in Sonae Sierra Brasil.

Tax Status

As of December 31, 2006, the company had qualified as real estate investment trust under Sections 856-860 of the Internal Revenue Code. As a REIT, the company must distribute approximately 90% of its taxable income to its shareholders. As an REIT the company would not be subject to federal income tax to the extent it meets certain requirements of the Code.
