About Consumers' Waterheater Income Fund

The Consumers’ Waterheater Income Fund operates as an open-ended trust in Canada. The company, through its subsidiaries, owns residential and commercial water heaters, HVAC Equipment and other related assets.

The rental portfolio primarily consists of residential water heaters and is subject to a Co-ownership Agreement with Direct Energy Marketing Limited (DE), a wholly-owned subsidiary of Centrica Canada Limited (Centrica). In addition to residential water heaters, the rental portfolio consists of other assets, including commercial water heaters, residential furnaces and boilers, commercial boilers and air conditioning units and both residential and commercial conversion burners. DE operates principally in Barrie, Caledon, Durham, the Greater Toronto Area, Halton, Hamilton, Kitchener, Mississauga, London, Ottawa and the national capital region, the Niagara Region, and Windsor. DE’s primary customer base is in the detached, semi-detached and row house markets.

The company also provides sub-metering services, including supplying, installing and remotely reading meters to measure individual suite consumption of electricity, heat and water in apartment buildings and condominiums, as well as commercial buildings, and billing and collecting for the cost of the energy and the administrative charges for the services provided. The company engages principally in providing the equipment and services to allow Sub-metering and remote measurement of electricity, heat and water consumption in individual units in apartment buildings, condominiums and commercial properties.

In September 2008, the Fund, through Operating LP, purchased 5,935 electric and gas water heaters from Thunder Bay Hydro. The Thunder Bay Water Heaters are not serviced under the Co-ownership Agreement. The Fund entered into services agreements with local third party contractors in the Thunder Bay, Ontario area to provide service support to customers on a fee-for-service basis.

Competition

The Fund’s competitors include Reliance Home Comfort (which owns Ozz Corporation); Enbridge Energy Solutions; Canadian Tire; Home Depot; Rona-Lansing; and Sears.
